RE: Intent to Procure MS Orchestra Software

This Non-Binding Letter of Intent (LOI) outlines my interest in the software solution currently under development by MS Orchestra.

Our organization recognizes the significant challenges that exist in mass spectrometry workflows for nontargeted analyses (NTA). We are seeking an analytical software solution that can deliver measurable improvements in:

• Data processing and workflow automation.
• The quality, reliability, and reproducibility of analytical results.
• Accuracy in molecular feature definition, abundance pattern analysis, and compound identification.

1. Statement of Intent

Provided that MS Orchestra meets the technical performance benchmarks and functional specifications mutually agreed upon during the upcoming beta/evaluation period, it is our intent to enter into a commercial licensing agreement for the software upon its general release.

This letter represents a statement of serious interest and intent to support the development of MS Orchestra. This is a non-binding document and does not constitute a legal obligation to purchase or a guarantee of future funds. Any final purchase will be subject to a formal software license agreement and internal budgetary approval.

The parties agree to treat the details of this LOI and the technical specifications of MS Orchestra as confidential information.
